1. Acceptance of Terms

By accessing and using the services provided by Next Evolve Nigeria Limited ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Next Evolve Limited provides a range of technology and energy solutions including, but not limited to:

• Alternative Power Solutions (solar power, inverter systems, hybrid energy)
• Network and IT Solutions
• Cloud Computing Services
• Telecommunications Services
• Business Process Outsourcing (BPO)
• Cybersecurity Solutions
• Project Management and Consulting
• CCTV and Security Systems

3. Service Agreements

Specific services may require separate written agreements that outline detailed terms, pricing, deliverables, and timelines. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant reasonable access to premises, systems, or equipment as required
• Pay all fees and charges as agreed upon in service contracts
• Comply with all applicable laws and regulations
• Not misuse or attempt to damage our systems, equipment, or services
• Maintain confidentiality of any proprietary information shared

5. Payment Terms

Payment terms shall be specified in individual service agreements. General terms include:

• Invoices are due within 30 days of issuance unless otherwise specified
• Late payments may incur interest charges at the prevailing commercial rate
• We reserve the right to suspend services for overdue accounts
• All prices are quoted in Nigerian Naira (₦) unless otherwise stated
• Prices are exclusive of applicable taxes unless indicated

6. Warranties and Guarantees

We provide warranties on equipment and installations as specified in individual contracts. Generally:

• Equipment warranties are provided by manufacturers and passed through to clients
• Installation workmanship is typically warranted for 12 months from completion
• Maintenance and support services are provided as per service level agreements

Warranties do not cover damage caused by misuse, unauthorized modifications, acts of nature, or failure to follow recommended maintenance procedures.

7. Limitation of Liability

To the maximum extent permitted by law, Next Evolve Nigeria Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.

8. Intellectual Property

All intellectual property rights in our services, including software, documentation, methodologies, and proprietary tools, remain the property of Next Evolve Nigeria Limited or our licensors. Clients are granted a limited, non-exclusive license to use deliverables solely for their intended business purposes.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of our business relationship. This obligation survives the termination of services.

10. Termination

Either party may terminate services:

• Upon completion of agreed deliverables
• With written notice as specified in service agreements (typically 30 days)
• Immediately for material breach that remains uncured after 14 days written notice
• Immediately upon insolvency or bankruptcy of either party

Upon termination, clients shall pay for all services rendered and expenses incurred up to the termination date.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, government actions, power outages, or internet service disruptions.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of Nigerian courts.

13. Amendments

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
